Welcome to ViClinic Inc. These terms and conditions (the "Agreement") govern your use of all content, services, and products (the "Service") provided by Viclinic Inc. ("ViClinic") and available on the ViClinic site (the "Site"). The Service is owned and operated by ViClinic and is offered subject to your acceptance without modification of all of the terms and conditions contained herein. This Agreement also includes all other operating rules, policies, and procedures that may be published from time to time on the Site.
1. Acceptance of Terms:
By accessing our Site or using the Service, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access the Service. Your continued use of the Service after any modifications to this Agreement constitutes acceptance of those changes.
2. Age Requirement:
You must be at least eighteen (18) years of age to use the Service. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its users to this Agreement.
3. ViClinic's Role:
ViClinic is a venue that facilitates your access to telemedicine and expert medical services. We are not a healthcare services provider, insurance provider, or prescription fulfillment warehouse. ViClinic is independent of healthcare providers who provide telemedicine services ("Provider Services") through our platform.
4. Not a Replacement for Primary Care:
The Service is not a substitute for your primary care physician, annual office check-ups, or other treating providers. It serves as a platform to connect you with healthcare providers for specific services.
5. Member and Healthcare Provider Relationships:
ViClinic acts as a venue for members ("Members") and healthcare providers ("Healthcare Providers") to view and post services on the Site. ViClinic is not a party to any actual agreement or transaction between Healthcare Providers and Members. The accuracy and correctness of the content or information provided by Healthcare Providers and Members are beyond our control.
6. Separate Agreements:
Users acknowledge that separate agreements and/or waivers may be required between Healthcare Providers and Members before purchasing Provider Services. These agreements may impose additional restrictions on booking Provider Services.
7. Your Representations and Warranties:
By registering on the Site, you represent and warrant that you are at least eighteen (18) years old, have the legal ability and authority to enter into this Agreement, provided accurate registration information, will comply with all applicable laws, and will not interfere with the Service's operation.
8. Healthcare Provider Responsibilities:
Healthcare Providers are responsible for the quality of Provider Services, compliance with laws, obtaining patient consent if required, and adhering to privacy laws, including HIPAA.
9. Account Registration:
Healthcare Providers must provide certain personal information and practice details during account registration. Transaction fees apply and are subject to change.
10. Payment Terms:
Payments for completed services are deposited to Healthcare Providers' accounts on a bi-weekly basis. Third-party payment processors may be used, and their terms and conditions apply.
11. General Account Terms:
Users are responsible for maintaining account security. Unauthorized account activity must be reported to ViClinic. Users must not use the Service for illegal purposes.
12. Content:
Users are responsible for the content they make available on the Site. Content must not infringe on third-party rights, contain harmful or unethical material, or mislead others.
13. Minimum Age:
The Service is intended for users aged 18 and older.
14. Member Fees, Cancellation, and Refund Policy:
Fees apply for the Service and are refundable within 24 hours of scheduled services. Refund inquiries can be made to ViClinic. Payment is charged through authorized third-party payment processors.
15. Copyright Policy:
ViClinic respects copyright law and may terminate users who repeatedly infringe on copyright holders' rights.
16. Intellectual Property Ownership:
ViClinic owns or licenses proprietary materials on the Site, including copyrights and trademarks. Users may not use these materials without permission.
17. Changes:
ViClinic reserves the right to modify these terms and conditions. Users will be notified of changes and continued use of the Service constitutes acceptance of the changes.
18. Data:
Users can request personal account and group-related data. ViClinic has the right to refuse repetitive or technically difficult requests.
19. General Representation and Warranty:
Users represent that they will comply with laws and not infringe on third-party rights.
20. Disclaimer of Warranties:
The Service is provided "as is," and ViClinic disclaims all warranties. ViClinic does not guarantee the accuracy or uninterrupted operation of the Service.
21. Limitation of Liability:
ViClinic is not liable for any damages, including bodily injury, arising from the Service. In no event will ViClinic's liability exceed the fees paid by the user in the six (6) months preceding the claim.
22. Indemnification:
Users agree to indemnify ViClinic against claims resulting from their breach of this Agreement or violation of any law or third-party rights.
23. Disputes Resolution:
Disputes will be resolved through arbitration administered by the American Arbitration Association. This Agreement is governed by Delaware law.
24. Miscellaneous:
Compliance with laws is mandatory.Headings are for reference purposes.Entire Agreement: This Agreement constitutes the entire agreement.Severability: If any part of this Agreement is invalid, the rest remains in effect.Waiver: Waiving one term does not waive others.Assignment: User rights cannot be assigned without VI Clinic’s consent.Termination: ViClinic may suspend or terminate user access.No Relationship: No employment or agency
